1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the QuantivFlow website, the QuantivFlow mobile application, and all related services (together, the "Service"), operated by QuantivFlow ("we," "our," or "us"). By creating an account, purchasing a subscription, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

QuantivFlow provides algorithmic stock market analysis, including buy/sell signals across multiple time horizons, technical indicators, watchlists, alerts, performance statistics, and AI-generated insights. The Service is available through our website and our mobile application.

3. Not Financial Advice; No Advisory Relationship

QuantivFlow is an analysis and educational software tool, not a financial advisor. Nothing in the Service constitutes financial, investment, legal, or tax advice, an offer or solicitation to buy or sell any security, or a recommendation of any investment strategy. Signals, indicators, statistics, and AI-generated content are produced automatically by software from historical and current market data, are identical for every user, are not personalized to your circumstances, are provided for informational purposes only, and may be wrong. Terms such as "Buy", "Sell", or "Exit" are technical descriptors of algorithmic outputs - they are not instructions or recommendations to trade.

We are not a licensed investment advisor, portfolio manager, broker-dealer, or fiduciary in any jurisdiction, and nothing in the Service or in your subscription creates an advisor-client, fiduciary, or similar relationship between you and us. Past performance, including any backtested or historical performance shown in the Service, does not guarantee future results.

4. Assumption of Risk; Sole Responsibility

Trading and investing involve substantial risk, including the possible loss of your entire invested capital. By using the Service - on any tier, free or paid - you acknowledge and agree that:

• Every investment decision you make is yours alone, made at your own initiative, your own judgment, and your own risk;
• You will not treat any output of the Service as a recommendation, and you will consult a licensed financial advisor before making investment decisions;
• Subscription fees pay for access to software - not for advice, not for recommendations, and not for any promised or implied trading result;
• We bear no responsibility for the outcome of your trading or investment activity - regardless of the size of any loss, and regardless of any amount you paid for the Service.

5. Accounts and Eligibility

• You must be at least 18 years old to use the Service.
• You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account.
• One account per person. Accounts may not be shared, sold, or transferred.
• We may suspend or terminate accounts that violate these Terms.

6. Free Tier and Fair Use

The free tier of the Service is subject to usage limits, including daily analysis quotas and caps on the number of active alerts and watchlist items. These limits, and the set of features included in the free tier, may change at any time. Automated access (bots, scrapers, bulk querying) is prohibited on any tier.

7. Premium Subscriptions

• Billing: Premium subscriptions purchased in our mobile app are billed through your app store account (Google Play, and where available, the Apple App Store) at the price shown at the time of purchase, plus applicable taxes.
• Auto-renewal: Subscriptions renew automatically at the end of each billing period (monthly or yearly) unless cancelled at least 24 hours before the period ends.
• Cancellation: You can cancel at any time in your app store's subscription settings (e.g., Google Play → Payments & subscriptions). Cancellation stops future renewals; you keep Premium access until the end of the period you already paid for.
• Deleting your account does not cancel your subscription. App store subscriptions are managed by the store, not by us. If you delete your QuantivFlow account, you must also cancel the subscription in your app store settings, or you will continue to be charged.
• Refunds: Payments are processed by the app stores and refunds are governed by their policies. Refund requests should be directed to the relevant store; we may assist where the store's policy allows.
• Payment failures: If a renewal payment fails, the store may allow a grace period during which your Premium access continues while you fix your payment method. If payment is not completed, your subscription expires and your account reverts to the free tier.
• Price changes: We may change subscription prices. Price changes apply to renewals after the change and will be communicated in accordance with the app store's rules, which may allow you to cancel before the new price takes effect.

8. Market Data and Third-Party Content

Market data, quotes, and other financial information in the Service are obtained from third-party providers. Such data may be delayed, incomplete, or inaccurate, and is provided "as is" without any warranty. We do not guarantee the availability, timeliness, or accuracy of any market data or of any analysis derived from it.

9. Acceptable Use

You agree not to:

• Copy, redistribute, resell, or publicly display signals, data, or other content from the Service;
• Access the Service by automated means or circumvent usage limits, authentication, or security measures;
• Reverse engineer, decompile, or create derivative works of the Service;
• Use the Service for any unlawful purpose, including market manipulation;
• Interfere with or disrupt the operation of the Service.

10. Intellectual Property

The Service, including its software, algorithms, design, trademarks, and content (other than third-party market data), is owned by QuantivFlow and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SIGNAL OR ANALYSIS WILL BE PROFITABLE OR ACCURATE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• QUANTIVFLOW AND ITS OPERATORS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY TRADING OR INVESTMENT LOSS, LOST PROFITS, OR MISSED OPPORTUNITY ARISING FROM OR RELATED TO THE SERVICE OR ANY OF ITS OUTPUTS - UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE), REGARDLESS OF THE SIZE OF THE LOSS AND REGARDLESS OF ANY AMOUNT PAID FOR THE SERVICE;
• QUANTIVFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE;
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM;
• YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICE IS TO STOP USING IT AND CANCEL YOUR SUBSCRIPTION.

Some jurisdictions do not allow certain limitations of liability; in those jurisdictions the above limitations apply to the fullest extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless QuantivFlow and its operators, owners, and staff from and against any claims, damages, losses, and expenses (including reasonable legal fees) brought by a third party and arising from your use or misuse of the Service, your violation of these Terms, or your violation of any law or of any third party's rights.

14. Termination

You may stop using the Service and delete your account at any time (see our account deletion page; remember to cancel any active subscription in your app store first). We may suspend or terminate your access if you violate these Terms, with or without notice. Sections 3-4, 8, and 10-17 survive termination.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last Updated" date on this page, and where required, by additional notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms, and any dispute arising from them or from the Service, are governed exclusively by the laws of the State of Israel, without regard to its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods. You agree that the competent courts of the Tel Aviv district, Israel, shall have sole and exclusive jurisdiction over any such dispute, and you waive any objection to that venue. To the fullest extent permitted by applicable law, any claim shall be brought in your individual capacity only, and not as a plaintiff or class member in any class, consolidated, or representative proceeding.

17. Severability; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and, if necessary, deemed replaced by a valid provision that most closely matches its intent - and the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. Our failure to enforce any provision is not a waiver of it.
